UK Commercial Cleaning Contracts Guide

A well-drafted contract is essential for any commercial cleaning business. It protects both you and your clients by clearly outlining expectations, responsibilities, pricing, and procedures for handling disputes or changes. This guide covers what to include in UK commercial cleaning contracts and how to protect your business legally.

What Should Be Included in a Cleaning Contract?

A comprehensive commercial cleaning contract should contain:

  • Parties: Full names and addresses of the cleaning company and client
  • Scope of Work: Detailed description of cleaning tasks, areas to be cleaned, and any exclusions
  • Frequency & Schedule: How often cleaning occurs and specific times
  • Pricing: Monthly or per-visit costs, what's included, and any additional charges
  • Payment Terms: When payment is due, accepted payment methods, and late payment procedures
  • Start Date & Term: When the contract begins and how long it lasts
  • Termination Clause: Notice periods required to end the contract
  • Insurance & Liability: Insurance requirements and liability limitations
  • Health & Safety: Commitment to UK regulations and safety standards
  • Dispute Resolution: How disagreements will be handled

Legal Requirements for UK Cleaning Contracts

Cleaning contracts in the UK must comply with various laws and regulations. Contracts must be fair and not contain unfair terms under the Unfair Contract Terms Act. Late payment clauses are governed by the Late Payment of Commercial Debts (Interest) Act 1998, which allows for statutory interest and compensation. Health & Safety at Work Act 1974 requires compliance with workplace safety standards. Data Protection Act 2018 protects any personal data collected. VAT implications should be clear, especially if you're VAT-registered. Employment law applies to your staff and their working conditions.

Scope of Work: Defining Exactly What You'll Do

The scope of work is perhaps the most important section, as it clearly defines what cleaning you will and won't do. Be specific: "General cleaning includes vacuuming carpeted areas, dusting all surfaces, wiping down desks, removing trash, and mopping hard floors. Windows and carpets are cleaned on a separate monthly contract. Deep disinfection services are available for an additional charge." This prevents disputes about unmet expectations. Include frequency for each service type (e.g., "toilets cleaned and restocked three times weekly, kitchens cleaned daily"). List any areas not included or items requiring additional charges.

Pricing & Payment Terms

Specify your exact fees and what's included. For example: "£500 per month for tri-weekly cleaning, includes cleaning supplies and equipment. Travel time over 10 miles billed at £0.50/mile. Additional services billed separately." Clearly state payment terms (e.g., "Due within 30 days of invoice" or "Monthly in advance"). Specify payment methods accepted. Include what happens if payment is late: "Late payments accrue interest at 8% + Bank of England base rate per the Late Payment of Commercial Debts (Interest) Act 1998." Detail any price review schedule (e.g., "prices reviewed annually").

Notice Periods & Termination

Standard notice periods for commercial contracts are 30-90 days. A 30-day notice period works for most small-to-medium contracts. Larger, more complex contracts (like those with multiple sites) might warrant 60-90 days. The notice period protects both parties: it gives you time to find replacement clients and gives the client time to find a replacement cleaner. Include whether notice can be given verbally or must be in writing, and to whom. Specify whether final payment is due when the contract ends or if there's an outstanding invoice period.

Insurance & Liability

Specify required insurance in your contract. Public liability insurance (minimum typically £6 million) covers damage your cleaning team might cause to the client's property. Employers liability insurance is required by law if you have employees. Professional indemnity insurance protects against claims of professional negligence. Your contract should state: "Contractor maintains public liability insurance with minimum cover of £6 million. Certificates of currency will be provided annually." Also include liability limitations: "Contractor's liability is limited to the monthly contract value, except for death, injury, or loss caused by Contractor's negligence."

Health & Safety Compliance in Contracts

Your contract must reference compliance with UK health and safety laws. Include: "Contractor commits to compliance with Health & Safety at Work Act 1974, COSHH Regulations for chemical use, Environmental Protection Act for waste disposal, and all relevant British Standards." Detail specific procedures: "Staff will use appropriate personal protective equipment (PPE). All chemicals will be stored safely. Accidents will be reported immediately. Waste will be disposed of in accordance with regulations." Consider including right of refusal: "If Client requests tasks that would breach health and safety regulations, Contractor may refuse without penalty."

Confidentiality & Data Protection

Commercial cleaning staff often access sensitive areas. Include: "Contractor and staff agree to maintain confidentiality regarding any proprietary, confidential, or personal information accessed during performance of services. This includes client lists, financial information, research, strategic plans, and personal data. Breaches may result in termination and legal action." Also address data protection: "Any personal data collected will be processed in accordance with Data Protection Act 2018 and GDPR. Client can request access to personal data held."

Dispute Resolution Procedures

Include a clear process for handling disputes. "If disputes arise: (1) parties will attempt resolution directly within 10 days; (2) if unresolved, mediation will be attempted using an agreed mediator; (3) if mediation fails, either party may pursue legal action. This contract is governed by English law and disputes will be heard in English courts." This escalation approach often resolves disputes before they become costly legal battles.

Common Cleaning Contract Mistakes

Avoid these common mistakes: Not defining scope clearly, leading to disputes about what's included. Using vague language like "standard cleaning" without specifying exactly what that means. Failing to include insurance requirements. Not addressing payment terms or late payment penalties. Using verbal agreements instead of written contracts. Not including termination procedures. Forgetting to address liability and insurance. Not updating contracts annually for price increases or scope changes. Using generic templates without adapting to your specific business.

Frequently Asked Questions

What should be included in a cleaning contract?

A professional cleaning contract should include: parties involved, scope of work, frequency and schedule, pricing and payment terms, start and end dates, insurance requirements, health and safety compliance, cancellation terms, and dispute resolution procedures.

Is a cleaning contract legally binding in the UK?

Yes, a cleaning contract is legally binding if it contains all essential terms and is signed by both parties. It should comply with UK law and include fair terms. Consulting a solicitor is recommended for large contracts.

What payment terms should I use?

Common payment terms are Net 30 (payment due within 30 days) or monthly in advance. Specify payment method (bank transfer, cheque, etc.), late payment penalties, and who covers late payment interest under Late Payment of Commercial Debts (Interest) Act 1998.

How much notice should clients give to terminate?

Standard notice periods for commercial cleaning are 30-90 days. 30 days is typical for smaller contracts, 60-90 days for larger ongoing contracts. This protects both parties and allows time to transition.

Should insurance be in the contract?

Yes, your contract should specify insurance requirements: public liability (minimum £6 million typical), professional indemnity, and employers liability. Both parties should provide certificates of insurance.

What about health and safety in cleaning contracts?

Contracts should include health and safety compliance commitments, reference to COSHH regulations for chemicals, proper waste disposal procedures, accident reporting, and data protection for any confidential information accessed.

Can I include confidentiality clauses?

Yes, confidentiality clauses are important for commercial cleaning where staff may access sensitive areas or information. Specify what information is confidential and penalties for breaches.

What if there's a dispute?

Include dispute resolution procedures: first attempt resolution directly, then mediation, then arbitration or legal action. Specify which jurisdiction's law applies (typically English or Scottish law for UK contracts).
